Mergers, Acquisitions and Restructuring
Our pre-merger and acquisitions services range from specific, discrete
analytical tasks to support throughout the acquisition and integration
processes.
Depending on the nature of the transaction, HR Services may work with
multiple parties during an evaluation process, including acquisition partners,
accounting firms, investment bankers, specialized consultants or even the
acquisition target itself.
Our services include:
Qualifying opportunities
HR Services helps clients qualify acquisition or other investment
opportunities to facilitate management decision-making by:
- Assessing markets. HR Services helps clients assess a marketplace
before repositioning in a current market or entering a new market. HR Services
performs discrete analyses to support a client’s strategic planning

- Screening Acquisition Candidates. HR Services has helped clients
identify and screen potential candidates through secondary research, including
patent searches, reviews of technical papers, attendance at seminars or
tradeshows, or interviews with industry participants (such as suppliers,
potential or existing customers and academics). In addition, HR Services has
organized or facilitated visits to potential targets.
- Evaluating Acquisition Targets. HR Services assesses acquisition
candidates on a stand-alone basis as well as to identify potential
compatibility with the client’s business. To do so typically requires far more
than an analysis of the financials of the acquisition target.
We conduct focused, in-depth interviews with industry participants to
examine the business of the acquisition target, while protecting the
acquirer’s confidentiality. Our expertise in economic modeling helps us
determine the target's current and future cost positions and revenue streams.
Depending on the client’s situation, we can also identify compatibilities
with existing businesses and forecast the potential profitability of the
combined entity. This information, added to estimates of the transaction costs
(e.g., acquisition prices, restructuring costs), provides a complete economic
assessment of the potential acquisition. Often our clients use this assessment
to negotiate with the target.
Engaging in Dialogue With Acquisition Candidates
HR Services can help:
- Prepare or facilitate preparation of business plans or other documents to
be shared with the acquired company or related parties
- Help to establish a constructive dialogue with acquisition targets
- Help our clients understand and validate the implications of data supplied
by targets
- Help our clients defend their assumptions on the scope of the acquisition,
the price range for the transaction or the future performance of the target.
At this stage our involvement can be known or kept confidential to the
acquisition target.
Conducting Due Diligence
HR Services also assists clients with due diligence once they and their
acquisition target have signed a letter of intent. While our due diligence
capabilities do not extend to law, environment, accounting/finance or
information technology, we can help our clients acquire and use this critical
information.
Specifically, our methodology applies to evaluating the acquisition
candidates’ business plans, along with their business and organization models,
labor resource competitiveness, cost structures and cultural fit.
Based on each client’s preferences and needs, we can work independently or
collaborate closely with its due diligence team. We have played a key role in
operating "data rooms".
Completing the Transaction
At this stage HR Services can help:
- Sort through scenarios based on acquisition scope, deal financing or
acquisition mechanism and price
- Design or assess the potential impact of executive contracts, retention
and severance programs including "golden parachutes"
In most cases, at this stage, we support our clients’ acquisition teams and
their investment bankers.
